What we do

Corporate administration for Jamaican companies

HGH Corporate Services does the regulated work of keeping a company properly constituted: formed correctly, recorded properly, and filed on time. Legal advice, when a matter needs it, is given separately by Henlin Gibson Henlin.

01

Forming the company

Incorporation is short when the papers are right and slow when they are not. We reserve the name, prepare the incorporation, and put the first officers, shareholders, capital, and registered office in place so there is no gap between the certificate and the records the company is supposed to keep.

  • NameSearch and reservation at the Companies Office of Jamaica.
  • IncorporationThe documents and the filing that bring the company into existence.
  • First officersDirectors and the company secretary recorded from the start.
  • CapitalShareholders and the opening share capital, written down properly.
  • Registered officeA Jamaican address arranged as part of incorporation, not added later.
02

The company secretary’s work

After incorporation, the Companies Act expects registers, a minute book, and someone receiving official correspondence. That is ordinary company-secretarial work, and it is most of what we do. We keep the records current and we tell you when a decision needs a resolution rather than a phone call.

  • RegistersDirectors, members, and beneficial owners, kept so they match the company as it is.
  • Beneficial ownershipThe information gathered and held in the form the filings require.
  • Registered officeOfficial post received, logged, and sent on to the people who need it.
  • MeetingsBoard and shareholder meetings, written resolutions, and the minutes that follow.
  • Minute bookThe company’s record of decisions, held in one place.
03

Filings, changes, and the year

Companies change, and the public record has to change with them. We prepare the resolutions, lodge the filings, and keep a diary of the dates that do not move — the annual return first among them. A standing arrangement means the diary is ours to watch, not something reconstructed every January.

  • Annual returnPrepared and lodged for the company’s return date.
  • Routine filingsThe notices the Companies Office expects when particulars change.
  • PeopleAppointments, resignations, and share transfers.
  • The company itselfA new name, amended articles, or a change in capital.
  • The diaryDeadlines recorded, with a reminder before anything falls due.

Fees are confirmed in writing before any work begins. We do not provide trust services, act as a nominee shareholder, or put this company forward as a director of yours.

An instruction

How a matter moves

  1. 01EnquiryYou tell us what the company is and what you need done. We say what that involves, and what it will cost, before you commit.
  2. 02Due diligenceWe identify the people and companies behind the instruction. Jamaican anti-money-laundering law requires this, and we cannot start without it.
  3. 03EngagementScope, responsibilities, and fees go into written terms. Work starts when those terms are agreed.
  4. 04The workDocuments, resolutions, and filings, with you told where each one stands.
  5. 05The recordRegisters, minutes, and the diary stay current after the immediate job is finished.
